These Terms govern your membership of The Venture Society Ltd, T/A Venture.Community ("we", "us", "our", "the Society"), a co-operative society registered with the Financial Conduct Authority (FCA Reg No. 5226). They apply alongside our registered rules (available on the FCA mutuals register) and our Privacy and Data Policy. By joining you accept these Terms.
Society — The Venture Society Ltd, trading as Venture.Community.
Member — an individual whose application we have accepted and who holds at least one Community Share.
Board — the elected Board of Directors of the Society.
Community Share — a £1 non-transferable withdrawable share in the Society, issued under our registered rules.
Dues — the annual subscription that maintains Active Membership after Year 1.
Active Membership — membership where Dues are paid up to date.
1.1 Membership is open to individuals aged 16 or over who support the aims of the Society and agree to abide by our registered rules and these Terms.
1.2 Joining fee. On joining you pay £10, allocated as 10 × £1 Community Shares. Your first year of membership is included.
1.3 Annual Dues. From your second year onward you pay £10 per year to maintain Active Membership, due on the anniversary of your joining date.
1.4 Additional services. Some Society services (e.g. Residency Pass, Associate Company Membership) carry additional charges, displayed before you commit.
1.5 Nature of Community Shares. Community Shares give you the rights set out in our rules. They do not entitle you to dividends, profit share, or ownership of Society assets. The capital value of a share will not exceed its nominal £1, and is not expected to increase.
1.6 Cooling-off. You may cancel within 14 days of joining and receive a full refund, in line with the Consumer Contracts Regulations 2013.
2.1 Cancelling membership. You may cancel at any time by contacting us. Cancellation takes effect from the date we receive your notice.
2.2 Withdrawing Community Shares. Share withdrawal is a separate step from cancelling, requested in writing to the Chair or Secretary.
2.3 Share withdrawal is at the Board's discretion and subject to the Society's solvency and the restrictions in our registered rules. The Board may decline or defer withdrawal where doing so would prejudice the Society's financial position.
2.4 Community Shares are non-transferable. They cannot be sold, gifted, or assigned.
2.5 Non-payment of Dues. If you do not cancel and do not pay your Dues when due:
(a) Your membership is marked Expired. You retain a non-voting affiliation but lose access to Member benefits (section 3).
(b) If Dues remain unpaid for 12 months from the expiry date, your membership is automatically cancelled.
(c) On automatic cancellation under (b), unpaid Dues for the cancellation year are deducted pro-rata from your Community Share balance. Any residual balance is returned to you in line with 2.2 and 2.3.
3.1 While your membership is Active you are entitled to:
(a) Free entry to Member-only events hosted by the Society;
(b) Access to our community platforms and member directories;
(c) Access to investment opportunities and related services, subject to any eligibility checks required by law (e.g. self-certification as a high net worth individual, sophisticated investor, or professional investor where required by FSMA / FCA rules).
3.2 Residency Pass (co-working).
Active members may purchase a monthly Residency Pass giving access to our offices and partner satellite spaces. To activate:
(a) Sign the Desk Usage Agreement, which sets out our "House Rules";
(b) Register any business you operate as an Associate Company Member (separate fees apply);
(c) For teams, every individual using the space must hold an Active Membership in their own right.
The Residency Pass fee is published on our website and may be revised on 30 days' notice.
4.1 The Board may suspend or terminate your membership where you:
(a) Breach these Terms, the Society's rules, or the Code of Conduct (section 6);
(b) Act materially against the co-operative values of the Society;
(c) Bring the Society into disrepute.
4.2 You may appeal any termination decision in writing to the Board within 28 days. The Board will review and respond within a further 28 days.
4.3 Termination does not entitle you to a refund of Dues or accelerate share withdrawal under section 2.
5.1 We process your personal data under our Privacy and Data Policy for administration, communications, and regulatory compliance.
5.2 To exercise your rights (access, rectification, erasure, etc.) please contact us (section 12).
6.1 We expect Members to engage respectfully and constructively at events and on our platforms. In particular:
(a) Treat other members and staff with respect;
(b) Do not engage in harassment, discrimination, or abusive behaviour;
(c) Do not use Society platforms to spam, mislead, or share confidential information without consent;
(d) Declare any interest when introducing a deal or opportunity to other members.
6.2 The Board may suspend or terminate membership for breach of this Code, following the process in section 4.
7.1 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited by law.
7.2 Subject to 7.1, our total liability to you in any year is limited to the sums you have paid us in that year.
7.3 The Society is not responsible for the conduct of other members or for the outcomes of investment decisions you make through our platforms.
8.1 These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
9.1 If any clause is held to be invalid or unenforceable, the remaining clauses continue in force.
10.1 By ticking the acceptance box when you join, or by continuing to access Society services after these Terms are updated, you agree to be bound by these Terms.
11.1 We may update these Terms from time to time. Material changes will be notified by email to the address on file and posted prominently on our website.
11.2 If you object to a material change, you may cancel your membership within 30 days and withdraw your Community Shares under section 2.
